Terms of Use

AuctorLabs LLC (referred to herein as the "Company" or "AuctorLabs") is an entertainment-focused electronics and computing workshop located in Mason, Ohio. By creating an account on auctorlabs.com and booking sessions, the Customer agrees to these Terms of Use, as well as the accompanying Assumption of Risk and Waiver of Liability Agreement, which collectively constitute a binding contract.

1. Services Provided and Nature of Business

1.1. Description of Services: AuctorLabs provides an environment for participants to gain hands-on familiarity with electronics and vintage computing, including assembling circuits using breadboards and operating, programming, and playing games on classic computers such as the Commodore 64 (C64) and VIC-20.

1.2. Entertainment Focus and Disclaimer: AuctorLabs is explicitly defined as an entertainment business, not an educational institution. The Company does not and cannot guarantee any educational outcome from participation.

1.3. Information Disclaimer: Any information, help, or guidance provided by AuctorLabs staff during a session cannot be considered instructional or educational. AuctorLabs LLC bears no responsibility for how a customer uses that information outside of the workshop premises.

1.4. Project Use Disclaimer: All projects built at the workshop are intended for entertainment purposes only. AuctorLabs does not recommend or provide any guarantees for projects used for any other purpose or in any environment outside of the workshop.

2. Customer Responsibility and Age Policy

2.1. Account and Party Creation: Customers must sign up through the website and complete an email confirmation step to create an account. Before booking a session, the Customer must create a "party" that includes all intended attendees.

2.2. Mandatory Adult Supervision (Ages Under 10): Children under 10 years old MUST be attended by an accompanying adult aged 18 or older during the entire session. The accompanying adult is responsible for the child's conduct and safety.

2.3. Capacity to Contract: By accepting these terms, the Customer affirms they are 18 years of age or older and competent to enter into this contract. The Customer, as the booking adult, affirms that they are legally responsible for all individuals included in their defined party, particularly any minors, as specified in the accompanying Waiver of Liability. A minor cannot sign away their rights.

3. Financial Terms and Cancellations

3.1. Credits and Booking: Sessions are 50 minutes in duration. Customers purchase "credits" to book sessions and buy kits.

3.2. Customer Cancellation/Modification: A Customer can modify or cancel a booking up to 12 hours before the scheduled session start time. If canceled within this window, the credits used for the booking are refunded to the Customer's credit balance.

3.3. Business Cancellation: The Company reserves the right to modify the schedule and occupancy at any time. If AuctorLabs cancels a session, affected Customers will be notified via email, and credits used will be refunded to the Customer's credit balance, requiring the Customer to rebook the session.

3.4. No-Show/Late Cancellation: Revenue is recognized when credits are "redeemed," which includes when the Customer is a "no-show" for a booked session and failed to cancel 12 hours prior.

3.5. Credit Expiry and Refunds: Purchased credits expire one year (365 days) from the date of purchase. No refunds will be provided for expired credits. Monetary refunds for credit purchases must be requested directly by contacting AuctorLabs via email, phone, or in person.

4. Dispute Resolution and Enforcement

4.1. Waiver of Consumer Law Claims (CSPA): Nothing in this agreement shall preclude a consumer from also proceeding with a cause of action under any other theory of law. These terms do not prevent a Customer from pursuing remedies under Ohio's Consumer Sales Practices Act (CSPA), which prohibits unfair, deceptive, and unconscionable acts or practices in consumer transactions.

4.2. Supplier's Right to Cure (Ohio CSPA): If a Customer pursues a private remedy under the CSPA, AuctorLabs may deliver a "cure offer" within 30 days of being served with the lawsuit. If the Customer rejects the cure offer, but the final judgment awards actual economic damages not greater than the cure offer's value, the Customer will not be entitled to treble damages, court costs, or attorney's fees incurred after the cure offer date.

4.3. Governing Law and Interpretation: This Agreement shall be governed by the laws of the State of Ohio. Ohio courts generally uphold the concept of "freedom of contract". However, courts strictly interpret contracts and resolve ambiguities against the drafter when there is unequal bargaining power. The courts' primary role is to give effect to the clear and unambiguous intent of the parties at the time of contract formation.
